MiloTree Terms of Service

These Terms of Service, together with any policies, order forms, plan descriptions, or other terms referenced here, govern your access to and use of MiloTree, including the MiloTree website, MiloTreeCart, MiloTree Pop-Up, MiloTree lead-generation tools, sales-page tools, checkout tools, customer-management tools, templates, dashboards, software, support, and related products and services.

These Terms are a legal agreement between you and MiloTree LLC, a Texas limited liability company. In these Terms, “MiloTree,” “we,” “us,” and “our” refer to MiloTree LLC. “You” and “your” refer to the person or entity accessing or using the Service.

By accessing or using the Service, creating an account, subscribing to a paid plan, creating a product, publishing a page, collecting leads, processing transactions, or otherwise using MiloTree, you agree to these Terms. If you do not agree, you may not access or use the Service.

1. Definitions

“Service” means the MiloTree website, MiloTreeCart, MiloTree Pop-Up, lead-generation tools, sales-page tools, checkout tools, customer-management tools, templates, dashboards, software, support, and any related products or services offered by MiloTree.

“Creator,” “Seller,” “User,” “you,” and “your” mean the person or business using MiloTree to create products, publish pages, collect leads, sell products or services, manage customers, or otherwise use the Service.

“Customer,” “Buyer,” “Subscriber,” “Member,” “Client,” or “End User” means a person who buys, subscribes to, downloads, registers for, opts into, or otherwise interacts with your products, services, pages, forms, checkouts, subscriptions, memberships, or offers.

“Customer Transaction” means any purchase, subscription, membership payment, renewal, installment payment, order, booking, registration, refund, chargeback, dispute, cancellation, or other transaction between you and your Customer, whether facilitated through the Service, Stripe, or another third-party service.

“User Content” means any content, information, text, images, files, products, offers, pricing, descriptions, testimonials, claims, branding, links, customer data, lead data, email content, page content, or other materials you upload, enter, publish, create, generate, transmit, or make available through the Service.

“AI Output” means content, suggestions, drafts, page copy, headlines, descriptions, marketing copy, prompts, or other materials generated or assisted by artificial intelligence features available through the Service.

“Third-Party Services” means services, platforms, processors, tools, applications, integrations, or providers not owned or controlled by MiloTree, including Stripe, PayPal, email service providers, analytics providers, hosting providers, AI providers, and other third-party tools.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service.

If you use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you individually and the entity you represent.

You agree to provide accurate, complete, and current information when creating an account, subscribing to the Service, connecting Third-Party Services, creating products, or otherwise using MiloTree.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree not to share your login credentials with unauthorized users, impersonate another person or entity, create accounts using false information, or use another person’s account without permission.

You must notify MiloTree immediately if you believe your account has been accessed without authorization or if you become aware of any security issue related to your account.

MiloTree is not responsible for losses caused by your failure to secure your account, password, devices, email account, Stripe account, or other connected accounts.

4. Subscriptions, Billing, and Plans

Some parts of the Service are offered on a subscription basis. You may be billed monthly, annually, or on another recurring basis depending on the plan you select.

By subscribing to a paid plan, you authorize MiloTree and its payment processors to charge your payment method for all applicable subscription fees, renewal fees, taxes, and other charges associated with your account.

Unless otherwise stated at checkout or in your account, subscriptions automatically renew at the end of each billing cycle until canceled. You are responsible for canceling your subscription before the renewal date if you do not want to be charged for the next billing cycle.

MiloTree offers a 14-day money-back guarantee for new paid subscriptions. If you contact us within 14 days after your initial payment, we will refund your initial subscription payment, no questions asked, subject to the refund terms below.

You may cancel your subscription through your account settings or by contacting MiloTree support at [insert support email]. Cancellation stops future renewal charges but does not automatically entitle you to a refund for past charges, renewal payments, current billing periods, unused time, unused features, or failure to use the Service.

MiloTree may change plan features, usage limits, pricing, billing terms, or available subscriptions from time to time. If we change the price of your subscription, we will provide reasonable prior notice where required by law or where we determine the change is material. Your continued use of the Service after the change becomes effective means you agree to the updated price or terms.

If your payment method fails, expires, is declined, or cannot be processed, MiloTree may suspend or limit your access to the Service until payment is received. You remain responsible for all unpaid amounts.

5. 14-Day Money-Back Guarantee

MiloTree may offer a 14-day money-back guarantee for new paid subscriptions.

If you are not satisfied with the Service, you may contact MiloTree within the first 14 days after your initial payment and request a refund. If your request is received within that 14-day period, MiloTree will refund your initial subscription payment, no questions asked.

The 14-day money-back guarantee applies only to your first paid subscription payment unless MiloTree expressly states otherwise in writing. It does not apply to renewal payments, subsequent subscription payments, additional purchases, account reactivations, plan changes, or any fees charged after the first 14 days.

To request a refund under the 14-day money-back guarantee, you must contact MiloTree support at [insert support email] within 14 days after your initial payment.

After the 14-day money-back guarantee period expires, all subscription fees and other fees paid to MiloTree are non-refundable unless required by law or expressly agreed by MiloTree in writing.

MiloTree may refuse or limit refunds if we believe a refund request is fraudulent, abusive, made in bad faith, or part of an attempt to misuse the Service.

6. Refunds

Except for MiloTree’s 14-day money-back guarantee described above, and except where required by law, subscription fees and other fees paid to MiloTree are non-refundable.

MiloTree does not provide refunds or credits for partial billing periods, unused time, unused features, accidental renewals, failure to cancel, dissatisfaction after the 14-day guarantee period, lack of sales, lack of traffic, lack of email subscribers, account inactivity, changes to your business, or Customer disputes.

Refunds to your Customers are your responsibility unless MiloTree expressly states otherwise in writing.

MiloTree may, in its sole discretion, consider refund requests outside the 14-day money-back guarantee period on a case-by-case basis. Granting a refund in one instance does not require MiloTree to grant a refund in any other instance.

7. Your Products, Offers, and Customer Transactions

MiloTree enables you to create sales pages, checkout experiences, product pages, customer-management tools, lead-generation forms, and related functionality for selling digital products, memberships, subscriptions, workshops, coaching, services, downloads, and other offerings.

You, and not MiloTree, are the seller of any product, service, subscription, membership, download, coaching package, workshop, event, digital product, or other offering that you make available through the Service.

You are solely responsible for your offers, pricing, descriptions, claims, marketing, testimonials, income claims, health claims, legal claims, financial claims, product access, delivery, fulfillment, customer support, refund policy, cancellation policy, dispute handling, chargeback handling, compliance with applicable laws, and all communications with your Customers.

MiloTree is not responsible for any dispute between you and your Customers. This includes disputes related to product quality, delivery, access, refunds, cancellations, failed payments, recurring billing, subscriptions, memberships, coaching, workshops, services, digital downloads, promises, guarantees, advertising claims, or any other Customer Transaction.

You agree that you will not represent or imply that MiloTree is the seller, publisher, provider, warrantor, guarantor, sponsor, or endorser of your products, services, offers, claims, content, or Customer Transactions.

8. Payments and Stripe

Payments made through MiloTree are processed by Stripe or other third-party payment processors that MiloTree may support.

MiloTree provides software that helps facilitate payment flows, checkout pages, subscription management, sales pages, and related functionality. MiloTree is not a bank, payment processor, money transmitter, merchant services provider, escrow agent, tax advisor, or financial institution.

By using payment features of the Service, you agree to comply with all applicable Stripe terms, rules, policies, requirements, and restrictions. Your ability to receive payments may depend on your Stripe account, Stripe’s approval, Stripe’s risk review, Stripe’s verification requirements, your payment history, your product type, your location, your Customers’ locations, and other factors outside MiloTree’s control.

MiloTree is not responsible for Stripe’s decisions, including account approval, account suspension, account termination, payout holds, reserves, declined payments, refunds, disputes, chargebacks, negative balances, verification requirements, restricted businesses, processing limits, or any other action taken by Stripe.

MiloTree cannot guarantee that Stripe will approve your account, continue processing your payments, release funds, approve your business model, or support your products or services.

MiloTree may disable, remove, suspend, or restrict access to your MiloTree-hosted products, sales pages, checkout pages, checkout links, customer-management tools, account, or other Service functionality if we believe your activity violates these Terms, creates legal or financial risk, causes excessive disputes or chargebacks, violates payment processor rules, harms or may harm MiloTree, or is otherwise inappropriate for the Service.

MiloTree’s ability to disable products or functionality within MiloTree does not mean MiloTree controls your Stripe account. Stripe may separately suspend, restrict, or terminate your Stripe account under Stripe’s own terms, and MiloTree is not responsible for Stripe’s actions or decisions.

9. Taxes

MiloTree does not provide tax, legal, accounting, or financial advice.

You are solely responsible for determining whether any sales tax, VAT, GST, use tax, digital services tax, income tax, withholding tax, transaction tax, marketplace tax, or other tax, fee, duty, or governmental charge applies to your products, services, subscriptions, memberships, or Customer Transactions.

You are solely responsible for collecting, reporting, filing, and remitting any taxes or charges to the appropriate authorities.

MiloTree may provide access to third-party tools or integrations, including Stripe Tax, that may help calculate, collect, report, or manage taxes. Your use of those tools is optional and subject to the applicable third-party terms.

MiloTree does not guarantee the accuracy, completeness, availability, suitability, configuration, or legal sufficiency of any third-party tax tool or integration.

You are responsible for determining whether you need to register for tax collection in any jurisdiction and for ensuring that your tax settings, Stripe settings, product settings, checkout settings, and business records are accurate and complete.

10. Customer Management Tools

The Service may include tools that allow your Customers to access, update, or manage certain information related to their purchases, subscriptions, payment methods, accounts, memberships, downloads, or other transactions.

These tools are provided as a convenience to you and your Customers.

You remain solely responsible for your relationship with your Customers, including customer support, billing questions, refund requests, cancellation requests, product access, fulfillment, subscription terms, membership terms, and any promises or representations you make.

MiloTree does not control your Customers’ payment methods, bank decisions, card issuer decisions, Stripe account activity, payment processor decisions, or third-party platform decisions.

MiloTree is not responsible for failed payments, expired cards, declined transactions, disputes, chargebacks, unauthorized purchases, refund requests, subscription cancellations, or Customer claims arising from your products, services, subscriptions, memberships, offers, or Customer Transactions.

11. User Content

You retain ownership of your User Content.

By uploading, entering, generating, publishing, transmitting, or making User Content available through the Service, you grant MiloTree a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, publish, modify, adapt, format, create derivative works from, and otherwise use your User Content as reasonably necessary to provide, maintain, improve, secure, support, and operate the Service.

You represent and warrant that you own or have all rights, licenses, permissions, and consents necessary to use your User Content with the Service and to grant MiloTree the rights described in these Terms.

You are solely responsible for your User Content, including its accuracy, legality, reliability, appropriateness, ownership, intellectual property compliance, privacy compliance, advertising compliance, and marketing compliance.

MiloTree may remove, disable, restrict, or refuse to display any User Content if we believe it violates these Terms, violates applicable law, infringes third-party rights, creates risk for MiloTree, violates third-party platform or payment processor rules, or is otherwise inappropriate for the Service.

12. AI Features and AI Output

The Service may include artificial intelligence features that help create, draft, suggest, edit, summarize, structure, or generate content, including sales pages, product descriptions, headlines, marketing copy, prompts, templates, and related materials.

AI Output may be inaccurate, incomplete, misleading, offensive, noncompliant, duplicative, or unsuitable for your business or audience.

You are solely responsible for reviewing, editing, approving, verifying, and legally clearing all AI Output before using, publishing, sending, relying on, or distributing it.

MiloTree does not guarantee that AI Output will be accurate, original, non-infringing, compliant with law, suitable for your business, suitable for your audience, effective, profitable, or capable of producing any particular result.

You are solely responsible for all claims, promises, testimonials, guarantees, earnings claims, health claims, financial claims, legal claims, product descriptions, pricing, and other content included in AI Output that you use or publish.

You agree not to input sensitive personal information, confidential information, regulated information, payment card information, health information, or information you do not have the right to use into AI features unless MiloTree expressly states that the feature is designed to process that type of information.

MiloTree may use third-party AI providers to deliver AI features. Your use of AI features may be subject to additional limits, restrictions, availability issues, or third-party terms.

13. Templates, Education, and No Earnings Guarantee

MiloTree may provide templates, guides, training, examples, prompts, recommendations, marketing materials, sales-page structures, email ideas, product ideas, or other educational content.

These materials are provided for informational and educational purposes only. They are not legal, financial, accounting, tax, medical, investment, or professional advice.

MiloTree does not guarantee that you will make money, get Customers, grow your email list, increase traffic, improve conversions, build a successful business, avoid disputes, avoid chargebacks, comply with all laws, or achieve any particular result.

Your results depend on many factors outside MiloTree’s control, including your offer, audience, pricing, messaging, traffic, reputation, fulfillment, market demand, customer service, advertising, compliance, and business decisions.

You are solely responsible for your business decisions and for evaluating whether MiloTree’s tools, templates, suggestions, and materials are appropriate for your circumstances.

14. Lead Collection, Email Marketing, and Customer Data

The Service may allow you to collect leads, email addresses, customer information, subscriber information, purchase information, and other data from Customers or potential Customers.

You are solely responsible for obtaining all required consents, permissions, notices, and legal bases needed to collect, use, store, process, email, contact, market to, or otherwise communicate with your Customers, subscribers, leads, or audience.

You are solely responsible for complying with all laws and rules applicable to your communications and marketing, including anti-spam laws, privacy laws, consumer protection laws, email marketing rules, text messaging rules, and platform rules.

MiloTree is not responsible for your email marketing, lead collection, list management, unsubscribe practices, consent practices, privacy notices, customer communications, or use of Customer data.

If you connect MiloTree to a third-party email service provider, customer relationship management tool, automation tool, payment processor, or other Third-Party Service, you authorize MiloTree to send, receive, process, and transmit data as necessary to provide the Service and support the integration.

You are responsible for ensuring that your use of Third-Party Services complies with all applicable third-party terms and laws.

15. Acceptable Use

You agree not to use the Service for any unlawful, harmful, deceptive, abusive, infringing, high-risk, or unauthorized purpose.

You agree not to use the Service to create, promote, sell, facilitate, or distribute:

  1. illegal products, services, content, or transactions;
  2. fraudulent, deceptive, misleading, or scam offers;
  3. products or services that violate Stripe rules or other payment processor rules;
  4. products or services that create excessive chargebacks, disputes, complaints, or refund demands;
  5. content that infringes copyrights, trademarks, privacy rights, publicity rights, or other third-party rights;
  6. fake testimonials, false reviews, fake scarcity, misleading guarantees, or unsupported claims;
  7. unsupported income claims, business-opportunity claims, health claims, medical claims, legal claims, financial claims, or investment claims;
  8. malware, spyware, phishing, scraping, spam, credential harvesting, or unauthorized data collection;
  9. harassment, threats, abuse, exploitation, or hateful conduct;
  10. sexually explicit services, adult content, or other restricted content, unless expressly permitted in writing by MiloTree;
  11. regulated products or services without required licenses, approvals, disclosures, and compliance;
  12. counterfeit goods, stolen goods, illegal downloads, pirated content, or unauthorized access credentials;
  13. any activity that interferes with, disrupts, burdens, damages, or attempts to gain unauthorized access to the Service or related systems.

MiloTree may determine, in its sole discretion, whether a product, offer, page, account, or activity violates this section.

MiloTree may suspend, disable, remove, or restrict any account, product, page, checkout, link, content, integration, or feature that we believe violates these Terms, creates risk, or is inappropriate for the Service.

16. Third-Party Services and Integrations

The Service may connect to, rely on, or integrate with Third-Party Services, including Stripe, PayPal, email service providers, AI providers, analytics providers, hosting providers, and other tools.

Third-Party Services are not owned or controlled by MiloTree. MiloTree is not responsible for Third-Party Services, including their availability, security, accuracy, performance, fees, account decisions, data handling, errors, outages, policy changes, terms, or support.

Your use of Third-Party Services is governed by the applicable third-party terms and policies. You are responsible for reviewing and complying with those terms.

MiloTree does not guarantee that any integration will remain available, work without interruption, support every feature, or continue to operate if a Third-Party Service changes its API, rules, pricing, access, or terms.

MiloTree may modify, suspend, replace, or discontinue integrations at any time.

17. MiloTree Intellectual Property

The Service, including MiloTree’s software, designs, interfaces, templates, frameworks, workflows, features, functionality, dashboards, branding, logos, trademarks, trade dress, text, graphics, videos, documentation, and original content, is owned by MiloTree or its licensors and is protected by intellectual property laws.

Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, scrape, reproduce, create derivative works from, or exploit any part of the Service.

You may not use MiloTree’s trademarks, logos, branding, trade dress, or name in a way that suggests sponsorship, endorsement, affiliation, or approval without MiloTree’s prior written permission.

Subject to these Terms and your active subscription or permitted use, MiloTree grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business purposes.

18. Feedback

If you submit ideas, suggestions, requests, comments, improvements, or other feedback to MiloTree, you agree that MiloTree may use, modify, implement, publish, commercialize, or otherwise exploit that feedback without restriction or compensation to you.

You represent that your feedback does not contain confidential information that you do not want MiloTree to use.

19. Service Availability and Changes

MiloTree may modify, update, improve, limit, suspend, discontinue, or remove any part of the Service at any time.

MiloTree does not guarantee that the Service will be uninterrupted, error-free, secure, available at any particular time, compatible with every device or browser, or capable of meeting your requirements.

Features may vary by plan, account status, location, product type, integration, or other factors. MiloTree may add, remove, or change features, limits, templates, integrations, AI tools, checkout options, customer-management tools, or plan structures from time to time.

MiloTree is not liable for losses caused by downtime, interruptions, bugs, delays, data loss, failed integrations, failed payments, customer access problems, or changes to the Service.

20. Suspension and Termination

MiloTree may suspend, disable, restrict, or terminate your account or access to the Service at any time, with or without notice, if we believe:

  1. you violated these Terms;
  2. you failed to pay fees owed to MiloTree;
  3. your account creates legal, financial, technical, security, reputational, or operational risk;
  4. your products, pages, offers, or Customer Transactions create excessive disputes, chargebacks, complaints, refunds, or risk;
  5. your use of the Service violates Stripe rules, third-party platform rules, or applicable law;
  6. your account is inactive, fraudulent, misleading, abusive, or unauthorized;
  7. suspension or termination is necessary to protect MiloTree, its users, Customers, partners, systems, or reputation.

You may stop using the Service at any time. Canceling your subscription stops future subscription renewals but does not automatically delete your account, remove all content, cancel Customer Transactions, refund Customers, cancel Stripe subscriptions, resolve chargebacks, or satisfy your obligations to Customers.

Upon termination, your right to access and use the Service will end. MiloTree may delete, disable, or retain account data and User Content according to its policies, legal obligations, operational needs, and Privacy Policy.

Sections that by their nature should survive termination will survive, including payment obligations, refund terms, tax responsibility, ownership provisions, disclaimers, limitations of liability, indemnification, dispute provisions, and any other terms intended to survive.

21. Unauthorized Security Testing and Scanning Prohibited

You agree not to perform security testing, vulnerability scanning, penetration testing, probing, scraping, load testing, stress testing, exploit testing, or other assessment intended to identify, exploit, or demonstrate vulnerabilities in MiloTree’s systems, services, websites, applications, infrastructure, accounts, or data without MiloTree’s express prior written authorization.

Unauthorized attempts to scan, probe, test, breach, circumvent, bypass, or interfere with MiloTree’s systems, authentication, rate limits, security controls, access controls, or infrastructure are prohibited.

You may not access, copy, modify, delete, disclose, exfiltrate, or interfere with data that does not belong to you.

You may not engage in denial-of-service attacks, social engineering, phishing, credential attacks, spam, malware, or any activity that disrupts or attempts to disrupt the Service.

If you believe you have discovered a security vulnerability, you must report it to MiloTree at [insert security email] and must not publicly disclose it, exploit it, access data, disrupt the Service, or demand compensation.

MiloTree does not offer a bug bounty or vulnerability reward program unless expressly stated in writing. Any demand for payment, compensation, reward, benefit, or other consideration in connection with an alleged vulnerability, threat, or disclosure may be treated as unauthorized conduct.

MiloTree reserves the right to take legal action against individuals or entities engaged in unauthorized security testing, vulnerability scanning, exploitation, extortion, blackmail, threats, or other prohibited activity.

22. Copyright and Intellectual Property Complaints

If you believe content available through the Service infringes your copyright or other intellectual property rights, you may contact MiloTree at [insert IP/DMCA email] with information sufficient for us to evaluate the claim.

MiloTree may remove or disable access to content alleged to infringe third-party rights and may terminate accounts of repeat infringers where appropriate.

You are responsible for ensuring that your User Content does not infringe any copyright, trademark, privacy right, publicity right, or other third-party right.

23. Privacy

MiloTree’s collection, use, and processing of personal information is described in our Privacy Policy.

By using the Service, you agree that MiloTree may collect, use, process, store, and share information as described in the Privacy Policy and as necessary to provide the Service.

You are responsible for having your own privacy policy, cookie policy, consent notices, and other disclosures where required by law for your products, pages, lead forms, email marketing, Customer Transactions, and Customer communications.

24. Confidentiality

You may receive access to non-public information about MiloTree, the Service, product roadmap, beta features, support communications, pricing, security information, business information, or other confidential materials.

You agree not to disclose MiloTree’s confidential information to third parties or use it for any purpose other than your authorized use of the Service.

This section does not apply to information that is publicly available through no fault of yours, independently developed without use of MiloTree confidential information, or lawfully received from a third party without confidentiality obligations.

25. Beta Features

MiloTree may offer beta, experimental, preview, early-access, or test features.

Beta features may be incomplete, unstable, inaccurate, unavailable, changed, discontinued, or subject to additional terms. MiloTree does not guarantee that beta features will become generally available.

You use beta features at your own risk.

26. Disclaimers

Your use of the Service is at your sole risk.

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, MiloTree disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and course of performance.

MiloTree does not warrant that:

  1. the Service will function without interruption, delay, error, defect, or security issue;
  2. defects or errors will be corrected;
  3. the Service will be free of viruses or harmful components;
  4. the Service will meet your requirements;
  5. AI Output, templates, recommendations, or educational materials will be accurate, compliant, original, effective, or profitable;
  6. you will make money, get Customers, grow your audience, increase sales, or achieve any particular business result;
  7. Stripe, payment processors, email service providers, AI providers, or other Third-Party Services will work properly or remain available.

27. Limitation of Liability

To the fullest extent permitted by law, MiloTree and its owners, directors, officers, employees, contractors, agents, affiliates, partners, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, including loss of profits, revenue, sales, data, goodwill, business opportunity, customers, leads, use, or other intangible losses.

This limitation applies whether the claim is based on warranty, contract, tort, negligence, strict liability, statute, or any other legal theory, even if MiloTree has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

To the fullest extent permitted by law, MiloTree’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of:

  1. the amount you paid to MiloTree for the Service during the three months immediately before the event giving rise to the claim; or
  2. one hundred dollars.

The limitations in this section apply to all claims, including claims related to account access, subscription fees, product pages, Customer Transactions, refunds, chargebacks, taxes, Stripe activity, payment failures, Third-Party Services, AI Output, User Content, data loss, security incidents, downtime, or inability to use the Service.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

28. Indemnification

You agree to defend, indemnify, and hold harmless MiloTree and its owners, directors, officers, employees, contractors, agents, affiliates, partners, licensors, and suppliers from and against any claims, damages, losses, liabilities, costs, debts, settlements, penalties, fines, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  1. your access to or use of the Service;
  2. your User Content;
  3. your products, services, offers, pages, marketing, claims, pricing, testimonials, guarantees, or Customer Transactions;
  4. your Customers, subscribers, members, clients, leads, or audience;
  5. refunds, cancellations, disputes, chargebacks, taxes, failed payments, fulfillment, or customer support related to your business;
  6. your violation of these Terms;
  7. your violation of applicable law;
  8. your violation of third-party rights;
  9. your violation of Stripe terms, payment processor rules, email provider rules, platform rules, or other Third-Party Service terms;
  10. your use or publication of AI Output;
  11. your negligence, misconduct, fraud, misrepresentation, or unauthorized activity;
  12. any person’s use of the Service through your account.

MiloTree reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate with MiloTree’s defense of those claims.

29. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

Subject to any arbitration or dispute-resolution provision that may be added to these Terms, you agree that any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction and venue in those courts.

30. Changes to These Terms

MiloTree may modify or replace these Terms at any time.

If we determine that a change is material, we will provide reasonable notice before the new terms take effect, unless immediate changes are required for legal, security, operational, or fraud-prevention reasons.

Your continued access to or use of the Service after updated Terms become effective means you agree to the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

31. Miscellaneous

These Terms, together with any policies, order forms, plan terms, or other terms referenced here, constitute the entire agreement between you and MiloTree regarding the Service.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

MiloTree’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

You may not assign or transfer these Terms or your account without MiloTree’s prior written consent. MiloTree may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, reorganization, change of control, or by operation of law.
